Who is a Foreign Company?

How Can a Foreign Company Register in India?

A foreign company must file Form FC-1 with the Registrar of Companies within 30 days of establishing a place of business in India.

Upon approval, the company receives a Foreign Company Registration Number (FCRN).

Modifications? File Form FC-2

Any change in company documents or structure must be intimated within 30 days using Form FC-2.

Financial Statements & Annual Return

    • Must be prepared as per Schedule IIIand submitted via Form FC-3
    • Statements must include:
    • Balance Sheet, P&L
    • Related party transactions
    • Fund transfers & repatriation
    • Business locations in India

Annual Return must be filed in Form FC-4 within 60 days of financial year-end.

Audit Requirement

Accounts related to Indian business must be audited by a Chartered Accountant or CA firm in India.

DIN Requirement

Directors of foreign companies setting up liaison/branch offices do not need DIN (Director Identification Number).
